Acceptance of Terms

— These Terms of Service ("Terms") govern access to and use of the 2SkyMobile LLC platform, websites, APIs, dashboards, software, and related services ("Services"). By accessing or using the Services, the business entity ("Partner", "Customer", or "User") agrees to be bound by these Terms. If you do not agree, you must not use the Services.

Company Status

— 2SkyMobile LLC is a software platform and connectivity infrastructure provider incorporated in the State of Delaware, United States. 2SkyMobile LLC: Operates on a B2B / wholesale basis only; Does not act as a retail telecom operator; Does not own or operate telecommunications networks. All connectivity services are delivered through licensed third-party telecommunications operators.

Eligibility

— Services are available only to legally registered business entities. By using the Services, you represent that: You act on behalf of a company or organization; You have authority to bind that entity; All information provided is accurate and current.

Account Registration

— Partners must create an account to access Services. You agree to: Maintain accurate information; Protect login credentials; Notify us of unauthorized access. You are responsible for all activities conducted under your account.

Services Provided

— 2SkyMobile LLC provides: Connectivity orchestration; eSIM provisioning infrastructure; API integrations; Partner dashboards; Wholesale connectivity access. Services are provided for business use only.

Partner Responsibilities

— Partners are solely responsible for: Relationships with their end users; Pricing and resale terms; Customer support; Regulatory compliance; Privacy and consumer protection obligations. 2SkyMobile LLC has no contractual relationship with downstream end users.

Acceptable Use

— Partners may NOT: Operate SIM farms; Conduct traffic bypass or arbitrage; Generate automated abusive traffic; Use Services for illegal activities; Interfere with network stability; Resell Services without authorization. We may suspend access immediately upon suspected abuse.

Service Availability

— Services depend on third-party operators. 2SkyMobile LLC does not guarantee: Uninterrupted connectivity; Geographic coverage; Network performance; Roaming availability. Services are provided "AS IS" and "AS AVAILABLE". Emergency communication services may not be supported.

API Access

— API access may be granted upon approval. Partners must: Secure API credentials; Prevent unauthorized use; Comply with technical guidelines. We may revoke API access at any time for security or compliance reasons.

Billing & Payments

— Services may be billed via: Prepaid balances; Usage-based billing; Enterprise agreements. Activation of connectivity constitutes delivery of digital goods. Payments are final after activation unless required by law. Fraudulent chargebacks may result in account termination.

Suspension & Termination

— We may suspend or terminate access if: Policy violations occur; Fraud or abuse is suspected; Regulatory compliance requires action; Payment obligations are not met; Security risks are detected. Termination may occur without prior notice.

Intellectual Property

— All software, systems, APIs, branding, and technology remain exclusive property of 2SkyMobile LLC. Partners may not copy, reverse engineer, or redistribute platform components without authorization.

Data Protection

— Data handling is governed by our Privacy Policy and applicable Data Processing Agreements. Partners remain responsible for lawful data collection from end users.

Limitation of Liability

— To the maximum extent permitted by law, 2SkyMobile LLC shall not be liable for: Network outages; Carrier decisions; Service interruptions; Loss of profits or revenue; Indirect or consequential damages. Total liability shall not exceed fees paid during the preceding three (3) months.

Third-Party Services

— Services rely on third-party providers. 2SkyMobile LLC is not responsible for actions or failures of third-party telecommunications operators or infrastructure partners.

Compliance & Sanctions

— Services may not be used: In sanctioned jurisdictions; By restricted persons or entities; In violation of export control laws or OFAC regulations. Accounts may be terminated immediately to maintain compliance.

Modifications

— We may modify Services or these Terms at any time. Continued use constitutes acceptance of updated Terms.

Governing Law

— These Terms are governed by the laws of the State of Delaware, United States.

Dispute Resolution

— All disputes shall be resolved through binding arbitration in Delaware. Class actions are waived where permitted by law.
